1. Introduction

These Terms and Conditions, together with our Privacy Policy and any additional terms incorporated by reference (collectively, the "Terms"), govern your access to and use of the Intellect Flows website, available at https://intellectflows.in, our web-based Software-as-a-Service (SaaS) platform, Progressive Web Application (PWA), and related services, features, content, notifications, and tools (collectively, the "Platform" and "Services").

Please read these Terms carefully before accessing or using the Platform.

These Terms constitute a legally binding agreement between you ("You", "Your", or "User") and Intellect Flows, a proprietorship business owned by Kaushik Savaliya ("Intellect Flows", "Company", "We", "Us", or "Our").

By registering, accessing, or using the Platform, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with any part of these Terms, please do not access or use the Platform or Services.

We may update these Terms from time to time. The revised version will be published on our website with an updated revision date. Where required by applicable law, we will provide notice of material changes. Your continued use of the Services after revised Terms become effective constitutes acceptance of those changes, to the extent permitted by law.

2. Definitions

For the purposes of these Terms:

• "Account" means the account created by a User to access and use the Platform.
• "Content" means text, images, reports, business information, reviews, notifications, AI-generated content, documentation, and other materials available through the Platform.
• "Credentials" means usernames, passwords, authentication codes, access tokens, or other information used to access an Account.
• "Customer Data" means information about a User's customers that the User provides to, or processes through, the Services.
• "Google Business Profile" means the business profile service provided by Google.
• "Intellectual Property Rights" means copyrights, trademarks, patents, designs, trade secrets, software rights, database rights, and other intellectual property rights recognized under applicable law.
• "Personal Information" means information relating to an identified or identifiable individual.
• "Service Plan" means a subscription, package, or plan that determines the features, usage limits, and pricing available to a User.
• "User Data" means the information, content, business details, customer information, and other materials submitted or connected by a User to the Platform.
• "AI-Generated Content" means text, suggestions, responses, posts, summaries, or other content generated with the assistance of artificial intelligence technologies.

3. Eligibility and Consent

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

By registering for or using the Platform, you represent that:

• You are at least 18 years old.
• The information you provide is accurate and complete.
• You have the authority to represent the business or organization associated with your Account.
• Your use of the Platform complies with applicable laws and regulations.
• You have the necessary permissions to connect third-party accounts and submit User Data.

If you do not satisfy these requirements, you must not use the Platform.

4. User Registration and Account Security

Certain Services require you to create an Account. You agree to:

• Provide accurate, complete, and current registration information.
• Maintain the confidentiality of your Credentials.
• Keep your Account information updated.
• Notify us promptly if you suspect unauthorized access to your Account.
• Take reasonable steps to protect your devices and authentication details.

You are responsible for activities conducted through your Account, except to the extent that applicable law provides otherwise. We may suspend access if we reasonably suspect unauthorized activity, fraud, security risks, or violations of these Terms. We do not guarantee that unauthorized access can always be prevented. You should promptly report suspected security incidents to us.

5. Description of Services

Intellect Flows provides digital tools designed to help businesses manage and improve their online business presence and customer engagement. Depending on your Service Plan and the features available, the Platform may include:

• Google Business Profile management tools.
• Google review QR codes and review collection workflows.
• Review monitoring and management features.
• AI-assisted review writing and response suggestions.
• AI-powered Google Business Profile post creation.
• Business profile content management.
• WhatsApp reminders and automation features.
• Business performance dashboards and reports.
• Competitor analysis and business visibility insights.
• Search engine optimization (SEO) tools and recommendations.
• Other business management and automation features introduced from time to time.

Not every feature will necessarily be available to every User. Availability may depend on the selected plan, third-party integrations, account permissions, technical limitations, and applicable platform policies. We may add, modify, suspend, or discontinue features, subject to applicable law and any specific commitments made in an applicable Service Plan.

6. Permitted Use of the Platform

Subject to these Terms and your selected Service Plan, we grant you a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform for your internal business purposes. You may use the Platform to manage authorized business information, create business content, monitor reviews, and access the features included in your plan.

Unless expressly authorized by us in writing, you must not:

• Copy, reproduce, resell, sublicense, or commercially exploit the Platform itself.
• Make the Services available to third parties as a separate service.
• Reverse engineer, decompile, or attempt to extract the Platform's source code.
• Copy or redistribute our proprietary designs, software, documentation, or other protected materials.
• Use the Platform to build or benchmark a competing product.
• Remove copyright, trademark, or proprietary notices.
• Use automated methods to scrape or extract Platform data without authorization.

All rights not expressly granted to you under these Terms are reserved by Intellect Flows or the applicable rights holder.

7. User Responsibilities and Prohibited Activities

You agree to use the Platform responsibly and lawfully. You must not:

• Provide false, misleading, fraudulent, or unlawfully obtained information.
• Impersonate another person or misrepresent your relationship with a business.
• Upload content that is unlawful, defamatory, threatening, harassing, hateful, or infringing.
• Upload malware, viruses, malicious code, or content intended to disrupt the Platform.
• Attempt to access another User's Account, data, or connected services without authorization.
• Circumvent security controls or interfere with the Platform's operation.
• Use the Services to send spam or unauthorized marketing communications.
• Use the Platform to violate privacy, consumer protection, intellectual property, advertising, or data protection laws.
• Misuse customer information or process it without an appropriate legal basis.
• Manipulate reviews, impersonate customers, or submit reviews that misrepresent genuine customer experiences.
• Use the Services in a way that violates Google's policies or the terms of any other integrated service.

8. Google Business Profile and Third-Party Integrations

Intellect Flows may allow you to connect a Google account or Google Business Profile to access supported features. By connecting an account, you authorize the relevant integration to access the information and permissions necessary for the features you choose to use.

You represent and warrant that:

• You own the connected account or have proper authorization to manage it.
• You have the right to provide the permissions requested by the integration.
• You will not use the integration to violate Google's policies.
• You will maintain any account permissions required to use the connected features.

Your use of Google services remains subject to Google's applicable terms, policies, and privacy practices. Google may modify its APIs, permissions, access rules, or functionality. Such changes may affect the availability or operation of features within Intellect Flows. We are not responsible for third-party outages, policy changes, account restrictions, or decisions made by Google, except to the extent required by applicable law. Intellect Flows is an independent service and is not affiliated with, endorsed by, or sponsored by Google unless expressly stated otherwise.

9. Reviews and Customer Feedback

Intellect Flows provides tools to help businesses request, collect, monitor, and manage customer reviews. You acknowledge that:

• Customers independently decide whether to submit reviews.
• We cannot guarantee that customers will leave reviews or that reviews will receive a particular rating.
• Google controls the publication, visibility, moderation, and removal of reviews on its platform.
• Reviews may be delayed, filtered, removed, or restricted by Google or another third-party service.
• Review collection must comply with the applicable platform's policies and relevant laws.

You must not use the Services to create fake customer reviews, impersonate customers, purchase deceptive reviews, or otherwise manipulate review ratings. Any AI-assisted review text must reflect the customer's genuine experience and must be reviewed and approved by the customer before submission. Intellect Flows does not guarantee any particular number of reviews, star rating, ranking, search visibility, or business outcome.

10. AI-Generated Content and Automation

The Platform may use artificial intelligence to assist with drafting review responses, business posts, messages, summaries, recommendations, and other content. AI-generated outputs may contain errors, outdated information, omissions, or content that does not suit your business. You agree to:

• Review AI-generated content before publishing or sending it where review is available.
• Verify factual claims, prices, business details, and other important information.
• Ensure that published content is lawful and accurate.
• Obtain any necessary consent before sending automated messages or processing personal information.
• Monitor automated workflows and intervene when necessary.

You are responsible for the content you approve, publish, or send through the Platform. We do not guarantee that AI-generated content will be accurate, original, suitable for every purpose, or free from unintended results. We do not guarantee specific increases in reviews, revenue, leads, sales, search rankings, customer visits, or conversions.

11. Service Plans, Fees, and Payments

Some Services may require a paid Service Plan. The applicable fees, features, usage limits, subscription period, and payment terms will be displayed on the Platform or communicated to you before purchase. By purchasing a Service Plan, you agree to pay the applicable charges and any taxes required by law.

Payments may be processed through third-party payment providers. We do not store or directly handle full payment card details unless expressly disclosed through an applicable payment arrangement. We reserve the right to change Service Plan pricing. Where required by applicable law or an existing subscription commitment, we will provide appropriate notice before a price change takes effect. If a payment fails, is reversed, or remains overdue, we may restrict access to paid features after appropriate notice where required.

12. Free Trials and Demonstrations

We may offer free demonstrations, trial access, or limited-time access to selected features. The duration, eligibility, and features available during a trial will be communicated when the offer is presented. Unless otherwise stated, a free demonstration does not guarantee that all features will be enabled or that a paid subscription will begin automatically. At the end of a trial, continued access to paid features may require you to purchase a Service Plan.

13. Cancellation and Refunds

You may request cancellation of your Service Plan using the cancellation method made available through your Account or by contacting us. Unless your applicable plan states otherwise, cancellation will take effect at the end of the current paid subscription period. Cancellation does not automatically entitle you to a refund for the unused portion of a paid subscription. Refunds will be handled according to the refund terms communicated at the time of purchase and applicable law. Nothing in these Terms excludes or limits any refund, remedy, or consumer right that cannot lawfully be excluded.

If you believe you have been incorrectly charged, please contact us with your payment details and relevant transaction information. Do not send passwords or complete payment card details.

14. Access, Availability, and Service Changes

We aim to provide a useful and reliable Platform. However, uninterrupted availability cannot be guaranteed. Access may be affected by:

• Scheduled maintenance or technical updates.
• Internet connectivity or device issues.
• Third-party API changes or outages.
• Hosting, infrastructure, or security incidents.
• Government requirements or legal restrictions.
• Circumstances outside our reasonable control.

15. Intellectual Property Rights

The Platform and its original components, including its software, design, layout, interface, branding, logos, graphics, documentation, and proprietary materials, are owned by or licensed to Intellect Flows and are protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of our intellectual property to you.

You retain ownership of User Data that you own or are otherwise entitled to control, subject to the rights of third parties and applicable law. You grant Intellect Flows a limited, non-exclusive right to host, process, display, transmit, and use your User Data only as reasonably necessary to provide, maintain, secure, and support the Services.

16. User Data and Data Accuracy

You are responsible for the accuracy, legality, and appropriateness of the information you submit or connect to the Platform. You represent that you have the necessary rights, permissions, and legal basis to provide such information and authorize its processing for the purposes of the Services. We will handle personal information in accordance with our Privacy Policy and applicable law.

17. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store, disclose, and protect personal information. By using the Platform, you acknowledge that you have had an opportunity to review our Privacy Policy.

18. Third-Party Services and Links

We do not control third-party services and cannot guarantee their availability, accuracy, security, or performance. 19. Disclaimer of Warranties

To the extent permitted by applicable law, the Platform and Services are provided on an "as is" and "as available" basis. We do not guarantee that the Platform will always be available, uninterrupted, secure, or error-free, or that your business will receive a particular number of reviews, leads, sales, or customers. Information, reports, recommendations, and AI-generated content are provided for general business assistance only and should not be treated as legal, financial, or other professional advice.

20. Limitation of Liability

To the extent permitted by applicable law, Intellect Flows will not be liable for indirect, incidental, special, consequential, or exemplary losses, including loss of profits, revenue, business opportunities, goodwill, or data arising from your use of or inability to use the Platform. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited.

21. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Intellect Flows and its proprietor from third-party claims, losses, liabilities, and reasonable costs arising directly from your unlawful use of the Platform, your material breach of these Terms, content or information you submit that infringes a third party's rights, your misuse of customer information, or your violation of applicable laws or third-party platform policies.

22. Suspension and Termination

We may suspend or terminate your access to all or part of the Platform if you materially breach these Terms, use the Platform for unlawful or fraudulent activities, create a security risk, or if required payments remain overdue. Where appropriate and reasonably practicable, we will provide notice and an opportunity to address the issue before suspension or termination. Termination does not eliminate payment obligations incurred before termination.

23. Account Deletion

You may request deletion of your Account and associated personal information by using any account deletion mechanism made available through the Platform or by contacting us. We may need to retain certain information where required by law, for legitimate security purposes, to resolve disputes, or to comply with financial and accounting obligations.

24. Changes to the Terms

We may revise these Terms to reflect changes to the Platform, our business practices, legal requirements, or service features. The updated Terms will be published on the Platform with a revised "Last Updated" date. Your continued use of the Platform after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

25. Force Majeure

We will not be responsible for a delay or failure to perform an obligation to the extent it is caused by circumstances beyond our reasonable control, including natural disasters, fires, floods, war, terrorism, civil unrest, government action, power or internet outages, widespread infrastructure failures, labor disputes, and third-party service disruptions.

26. Governing Law and Dispute Resolution

These Terms will be governed by the laws of India. If you have a concern or dispute relating to the Platform or Services, we encourage you to contact us first so that we can attempt to resolve the matter informally. Subject to applicable law and any mandatory consumer protection rights, disputes will be subject to the jurisdiction of the competent courts in Gujarat, India.

27. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, where legally possible. The remaining provisions will continue in effect.

28. Waiver

A failure or delay by us in exercising a right under these Terms does not constitute a waiver of that right. Any waiver must be consistent with applicable law and will apply only to the specific circumstances for which it is given.

29. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Plan terms or other terms expressly incorporated by reference, form the agreement between you and Intellect Flows concerning your use of the Platform.
